SimbaProvider Binary Software License Agreement (“Agreement”) IMPORTANT: PLEASE READ CAREFULLY BEFORE DOWNLOADING, INSTALLING OR USING THE PROGRAM. BY CLICKING ON “I ACCEPT”, YOU ARE CONSENTING TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT AND HEREBY AGREE TO THE USE OF ELECTRONIC COMMUNICATION TO ENTER INTO THIS AGREEMENT. FUTHERMORE, YOU ACKOWNLEDGE YOUR AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF YOUR COMPANY (IF APPLICABLE). YOU HEREBY WAIVE ANY RIGHTS OR REQUIREMENTS UNDER ANY LAWS OR REGULATIONS IN ANY JURISDICTION THAT REQUIRE AN ORIGINAL (NON-ELECTRONIC) SIGNATURE OR DELIVERY OR RETENTION OF NON-ELECTRONIC RECORDS TO THE EXTENT PERMITTED UNDER APPLICABLE LAW. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OR THIS AGREEMENT, CLICK “I DO NOT ACCEPT” AND DO NOT PROCEED WITH THE DOWNLOAD OR INSTALLATION OF THE PROGRAM. 1. License Grant. This Agreement governs your use of SIMBA’s computer software program (collectively the “PROGRAM”), as provided to you (“YOU”) by SIMBA. SIMBA grants to YOU a non-exclusive, non-transferable license to use the PROGRAM in accordance with the terms of this Agreement. During the term specified, YOU may install and run the PROGRAM on a single computer only for the purpose of conducting your own internal evaluation (30 days) of the PROGRAM in a non-live environment by using the PROGRAM; a separate license from SIMBA is required to use the PROGRAM for any other purpose. The PROGRAM is in use on a computer when it is loaded into the RAM or installed into the permanent memory (e.g. hard disk or other storage device) of that computer. This Agreement is effective for the specified period from the date of YOUR acceptance of this Agreement (the “Effective Date”) and will automatically terminate in thirty (30) days (the “Evaluation Period”). SIMBA may terminate this Agreement immediately and without prior notice if YOU breach any term, or otherwise fail to comply with this Agreement. In the event of termination for any reason, YOU agree to immediately destroy and/or erase the original and all copies of the PROGRAM and of any PROVIDER, DRIVER, ISO Implementation, ISM Implementation, DRM Implementation or DSI Implementation built using the PROGRAM and to discontinue their use, and YOU will not retain or store the PROGRAM or any PROVDER, DRIVER, ISO Implementation, ISM Implementation, DRM Implementation or DSI Implementation built using the PROGRAM or any copies thereof, in any form or medium. Section 2, 3, 7, 9 and 10 and all other provisions of this Agreement that may reasonably be interpreted as surviving termination, shall survive termination of this Agreement. Simba reserves all rights not expressly granted to YOU in this Agreement. 2. Copyright. The PROGRAM is licensed, not sold, to YOU. SIMBA reserves all rights not expressly granted to YOU. Ownership of the PROGRAM and its associated proprietary rights are retained by SIMBA and its licensors. The PROGRAM is protected by the copyright laws and applicable patent laws of Canada and the United States and by international treaties. Therefore, YOU must comply with such laws and treaties in your use of the PROGRAM. Any copy of the PROGRAM made by YOU is subject to this Agreement and will include SIMBA's copyright, trademark and other proprietary notices. YOU may not copy the written documentation accompanying the PROGRAM. 3. Transfer and Use Restrictions. YOU may not sell, license, sub-license, lend, lease, rent, share, assign, transmit, telecommunicate, export, distribute or otherwise transfer the PROGRAM to others. YOU may not modify, reverse engineer, decompile, decrypt, extract or otherwise disassemble the PROGRAM. YOU agree not to remove any copyright notices, product identification, or other notices or similar restrictions from the PROGRAM. YOU agree not to disclose any information regarding benchmark or similar tests of the PROGRAM to any third party. 4. NO WARRANTY. AS THE PROGRAM IS PROVIDED TO YOU FOR EVALUATION PURPOSES ONLY, THE PROGRAM IS PROVIDED “AS IS,” WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING ANY EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ANY WARRANTIES FROM SIMBA REGARDING THE PROGRAM WILL BE EXPRESSLY STATED IN A SEPARATE LICENSE AGREEMENT, IF YOU PURCHASE A LICENSE TO USE THE PROGRAM FOR OTHER THAN EVALUATION PURPOSES. 5. DISCLAIMER. SIMBA DOES NOT WARRANT THAT THE PROGRAM IS FREE FROM BUGS, DEFECTS, ERRORS OR OMISSIONS, OR THAT IT WILL OPERATE WITHOUT INTERRUPTION. 6. LIMITATION OF LIABILITY. DAMAGES. SIMBA WILL HAVE NO LIABILITY OR OBLIGATION FOR ANY DAMAGES OR REMEDIES, INCLUDING, WITHOUT LIMITATION, THE COST OF SUBSTITUTE GOODS, LOST DATA, LOST PROFITS OR ANY OTHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, GENERAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, ARISING OUT OF THIS AGREEMENT OR YOUR USE OR INABILITY TO USE THE PROGRAM. 7. Confidential Information. YOU acknowledge that the PROGRAM, including, without limitation, all source code and object code files and all information relating to your evaluation of the PROGRAM, such as discussions, documentation, evaluations, reports, summaries, comparisons, opinions, performance results and notes, whether reduced to tangible form or not, constitutes confidential information (collectively the “Confidential Information”) of SIMBA that is proprietary and valuable to SIMBA and its licensors, and YOU will use the same level of care as a reasonable and prudent businessperson would to protect and safeguard the confidentiality of such Confidential Information while it is in your possession or control. YOU will not use the Confidential Information for any purpose not expressly set out herein and will not reproduce the Confidential Information, or disclose to or grant any other party access to the Confidential Information for any purpose, other than your employees who have a need to know such information to assist YOU in your evaluation of the PROGRAM, and in such case, all such employees will, prior to any disclosure, be bound by written confidentiality covenants that are consistent with those set out herein. YOU will return the Confidential Information upon termination of this Agreement, or earlier if requested by SIMBA, and YOU will not retain a copy of the Confidential Information in any form or medium. If YOU breach your confidentiality covenants herein, then in addition to any other remedies to which SIMBA may be entitled, SIMBA will be entitled to apply to a court of competent equitable jurisdiction for and obtain injunctive relief, including an interlocutory injunction, to enjoin such breach or any anticipated breach. YOU acknowledge that other remedies will not adequately compensate SIMBA and that SIMBA will suffer irreparable harm in the event of your breach or anticipated breach of your confidentiality covenants herein. Your confidentiality covenants will not apply to information that YOU can conclusively prove: (i) was developed independently by YOU without the use of the Confidential Information; (ii) is generally available to the public; or (iii) is available to YOU on a non-confidential basis from other lawful sources. 8. U.S. Government Restricted Rights Legend. If the PROGRAM is acquired by any agency or other part of the U.S. government in a transaction subject to the Federal Acquisition Regulations or the Defense Federal Acquisition Regulations, the PROGRAM is furnished with Restricted Rights. Use, duplication, or disclosure of the PROGRAM by the U.S. government is subject to all applicable restrictions set forth in such Regulations, as amended from time to time, including subparagraphs (c)(1) and (2) of the Commercial Computer Software - Restricted Rights clause at Section 48 C.F.R. 52.227-19. 9. Entire Agreement. This Agreement constitutes the entire agreement between YOU and SIMBA regarding the PROGRAM and all accompanying documentation. If any provision is found to be invalid by a court of competent jurisdiction, the balance of the provisions will remain in full force and effect. SIMBA’S inaction to enforce any provision of this Agreement shall not be deemed a waiver of such provision. This Agreement will be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, excluding its conflicts of law rules. The parties hereby attorn to the jurisdiction of the courts of the Province of British Columbia in the event of any dispute hereunder. The provisions of the U.N. Convention on Contracts for The International Sale of Goods (1980) will not apply to this Agreement. 10. Inurement. The rights, restrictions, limitations, disclaimers and remedies granted to, retained by, or for the benefit of SIMBA will inure to the benefit of and will be enforceable by SIMBA and its licensors, successors and assigns. The obligations, covenants and rights that apply to YOU will inure to your benefit and will be binding on YOU and your permitted successors and assigns.
